XRender Terms of Service

PLEASE READ THIS TERMS OF SERVICE CAREFULLY BEFORE USING THE XRender WEBSITE OR ANY RENDERING SERVICES FROM XRender. BY ACCESSING THE XRender WEBSITE(S) OR USING ANY SERVICES FROM XRender, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

This Agreement is between XRender (“XRender cloud render farm” or “XRender Farm”) and you (“you” or “Client”), as an individual or company, who intends to use XRender cloud Rendering Services, and governs the terms and conditions of your use of Rendering Services. This Agreement, together with other supplemental documents expressly incorporated herein by reference and published from time to time by XRender (including but not limited to: technical documentation, policies, price schedules), constitutes the entire agreement between XRender and you regarding Rendering Services, and supersedes all prior agreements between the parties regarding the subject matter of this Agreement. By using XRender Services, you confirm your acceptance of, and agree to be bound by, this Agreement.

1. Scope of application

Our deliveries, services, and offers are exclusively made on the basis of these general terms and conditions.

With the exception of managing directors and authorized signatories, our employees are not entitled to make verbal agreements with the customer in connection with the contract which deviate from these general terms and conditions.

2. Definitions

2.1 XRender Render Farm is referred to herein as “XRender,” "we,” "us," or "our."

2.2 "Customer": You, as the user, are referred to herein as "you," "user," "subscriber," "client."

2.3 The equipment and software owned, leased, used by, or maintained for or by XRender are referred to herein as "system."

2.4 Project”: One or several scenes or frames occasionally accompanied with its assets, supplied by the XRender Client for Rendering Services.

2.5 “Master Account”: The account you register on the XRender Web with your phone number or E-mail address.

2.6 “Sub Account”: The account that you create and manage via Master Account.

2.7 “Rendering Services” or “Service(s)”: All the services provided by XRender in the process of rendering the Project.

2.8 “Web” or “Website”: www.xrender.cloud.

2.9 “Fee” or “Cost”: The price displayed on XRende official website or client.

2.10 “Agreement”: All specific terms and conditions that are incorporated into the XRender Terms of Service.

2.11 “Free Trial”: The render coins offered by XRender for new users to have a no-cost test Rendering Services.

3. Amendment to Terms

3.1 To the Services

XRender may make commercially reasonable updates to the Services from time to time. XRender will inform Customer if a material change is made to the Services that has a material impact on Customer's use of the Services provided that Customer has subscribed with XRender to be informed about such change.

3.2 To the Agreements

XRender reserves the right to change the terms and conditions of this Agreement or its policies relating to the Rendering Services at any time and shall notify you by posting an updated version of this Agreement on the Website. You are responsible for regularly reviewing this Agreement. Continued use of the Rendering Services after any such changes shall constitute your consent to such changes.

4. Rendering Services

The Rendering Services provided by XRender constitute a very high performance 3D cloud rendering service, fully automated and running 24 hours a day, 7 days a week.

As a PaaS + SaaS cloud rendering service platform, XRender has independently developed an intelligent cluster scheduling system, the XRender client to provides you with a large number of high-performance nodes that can be flexibly scheduled to solve the problem of insufficient local computing power for users. You can mobilize massive nodes via XRender client and enjoy a more efficient workflow.

XCloud Disk is a cloud disk researched and developed independently by XRender. It is used to store and manage your rendering assets, which helps to save a lot of time when uploading files to XRender client.

XRender also offering clients with 24/7 hours online customer services by our professional TD team.

XRender provides Aspera for the receipt and the delivery of a Project to and from you in a secure and efficient way.

XRender reserves the right at any time to refuse a future order or cancel an existing order in the event that (1) any outstanding invoices are overdue for payment or (2) there are circumstances outside of the direct control of XRender that prohibited completion of the order.

You undertake to provide projects that are built on or compatible with the version of the 3D software and plugins supported by the XRender, including the latest services pack and hot fixes. Thus, you understand and agree to bear all liability resulting from the breach of the present provision. Any order placed on the Website is deemed to be firm and definitive. You undertake to pay the fees pursuant to the effective time used for the Rendering Services, even if you do not want or are not able to get back the finalized project.

5. Registration / User account

In order to access Rendering Services, please create an account by submitting a complete registration form which is continuously available on the Website. As part of the registration process for the Rendering Services, you agree to: (1) provide certain limited information about you as prompted to do so by the Services (such information to be current, complete and accurate) and (2) maintain and update this information as required to keep it current, complete and accurate, (3) secure your personal password, under your own responsibility, for its proper storage.

You are responsible for all the orders placed under your user account (both Master Account and Sub Account). If XRender discovers that any of your registration data is inaccurate, incomplete or not current, XRender may suspend or terminate your right to access and receive the Rendering Services immediately upon notice per email to the registered email address.

XRender may also reject a registration application if it determines, in its sole discretion that it does not permit a good management of its Rendering Services, or it would be contrary to public morals and ethics.

6. License

XRender grants you a personal, non-exclusive, non-sublicensable and non-transferable, license to use the products and software contained in or made available through the Rendering Services by Customer on systems owned, operated, or managed by or on behalf of Customer in accordance with (1) the Agreement, and (2) if applicable, the Scope of Use. All rights not expressly granted by XRender to you are retained.

You may not (1) copy or use XRender software or documentation (including but not limited to the technical documentation) except as permitted by this Agreement, (2) reverse engineer, decompile, or disassemble XRender software except to the extent permitted by law where this is indispensable to obtain the information necessary to achieve interoperability of an independently created program with XRender software or with another program and such information is not readily available from XRender or elsewhere.

7. Fees

XRender offers its Rendering Services in consideration of the Fees as published on the Website.

The price of any products or Services will be as quoted on our site from time to time, except in cases of obvious error. The applicable Fees for the Rendering Services are those that are displayed at the time you place your order.

XRender reserves the right to change the Fees or applicable charges and to institute new charges at any time. In the event you cancel the Rendering Services, XRender will not refund any Fees already paid by you.

We are under no obligation to provide the product to you at the incorrect (lower) price, even after we have sent you a dispatch confirmation, if the pricing error is obvious and unmistakable and could have reasonably been recognized by you as a mispricing.

Payment for all Services must be by PayPal, credit or debit cards, or other payment methods in our website or software. Payment will be taken at the time of ordering

You undertake that the details you provide to us for the propose of ordering or purchasing goods are correct, that the credit or debit card you are using is your own and that there is sufficient funds to cover the cost of the goods or services ordered.

Unless XRender agrees otherwise, Customer may not resell or transfer committed goods or Services purchased at XRender.

8. Special offers

XRender reserves the right to discontinue or modify any promotional offer at its own discretions.

Free Trial may vary by promotional offer. Only new XRender Customers are eligible to participate in the Free Trial.

Free Trial starts when Customer creates a new account at XRender and the free coins offered by XRender will expire if the Customer does not use within the validity period.

9. Feedback

We welcome your feedback, suggestions and other communications regarding our website and the information, products and services made available through our website. Feedback may be provided through our website, social media, email, mail, surveys, verbal communications or other means.
